Data License Agreement
This Data License Agreement ("Agreement") governs access to and use of aggregated sentiment insights ("Insights") licensed by Parley to a customer ("Licensee") identified on an accompanying Order Form. By signing an Order Form, Licensee agrees to these terms.
1. What is licensed
Parley licenses aggregated, de-identified, statistical Insights— percentage breakdowns of declared opinion across demographic segments (for example, "62% of women aged 25–34 said Yay"). Depending on the Order Form, this may include:
- •Topic Insights: a demographic breakdown of one or more specific questions.
- •Sentiment Trackers: a time series of aggregated sentiment on a subject across multiple questions.
- •Commissioned Questions: an original question written for Licensee and put to the Parley community, with the resulting breakdown.
Every delivery includes its underlying sample size and, where applicable, census weighting and confidence — Parley does not ship a number without its basis.
2. What is never licensed
3. Permitted use
- •Internal business analysis, product and marketing strategy, and research.
- •Inclusion in reports, presentations, and publications, with attribution to Parley where the Insights form a material part of the content.
- •Use consistent with the purpose stated on the applicable Order Form.
4. Prohibited use
- •Attempting to re-identify, de-anonymize, or single out any individual from the Insights, or combining Insights with other data for that purpose.
- •Reselling, sublicensing, or redistributing raw Insights data as a standalone data product without Parley's written consent.
- •Using Insights to discriminate against, target, or make eligibility decisions about any individual or protected class.
- •Representing Insights as anything other than aggregated opinion data, or implying they are individually-identified survey responses, transaction data, or verified fact.
- •Any use that violates applicable law, including advertising, employment, credit, or insurance decisions restricted under such law.
5. Fees and payment
Fees, invoicing frequency, and payment terms are specified on the Order Form. Unless the Order Form states otherwise, invoices are due within 30 days of receipt. Late payments may result in suspension of access to Insights until resolved.
6. Term and termination
| Trigger | Effect |
|---|---|
| Term expires (per Order Form) | Access ends; already-delivered Insights may continue to be used per section 3 |
| Either party terminates for the other's uncured material breach | Access ends immediately; fees for the period already delivered remain due |
| Licensee breaches section 2 or 4 | Parley may suspend or terminate immediately and pursue damages |
| Parley discontinues the Insights product | Parley will give 30 days' notice and a pro-rated refund for undelivered future periods |
7. No warranty on the data
Insights reflect declared opinion from Parley's community and are provided "as is." Parley discloses sample size and confidence with each delivery, but does not warrant that Insights are representative of any population beyond what that disclosure describes, or that they predict any future outcome. Insights are not investment, legal, medical, or professional advice.
8. Confidentiality
Each party will protect the other's confidential information (including undelivered Insights, pricing, and this Agreement's non-public terms) with the same care it uses for its own confidential information, and not disclose it except to personnel who need it and are bound to similar confidentiality obligations.
9. Liability
Neither party is liable for indirect, incidental, or consequential damages. Each party's total liability under this Agreement is capped at the fees paid or payable under the applicable Order Form in the 12 months preceding the claim, except for breaches of sections 2 or 4, or a party's indemnification obligations, which are not subject to this cap.
10. Compliance with privacy law
Parley collects and aggregates the underlying data in accordance with its Privacy Policy, including GDPR and CCPA/CPRA obligations to the individuals whose declared opinions inform the Insights. Licensee is independently responsible for its own compliance with law in how it uses Insights.
11. Governing law
This Agreement is governed by the laws of the state specified on the Order Form, without regard to conflict-of-law principles, unless the parties agree otherwise in writing.
